M Winkworth plc and Simon Agace have agreed a consent order in their ongoing High Court proceedings as discussions continue over a potential settlement.
The order has been sealed by the Court and keeps undertakings previously given by Agace in connection with an earlier consent order dated 12 August 2026 in force.
Those undertakings will remain effective until the dispute is resolved or the Court orders otherwise.
All further proceedings have now been stayed for one month, while a hearing scheduled for 5 October has been adjourned.
SETTLEMENT DISCUSSIONS CONTINUE
The hearing can be restored on at least seven days’ notice once the stay expires, unless the Court makes a further order.
The estate agency franchisor says both parties remain in discussions with a view to reaching a settlement and that further updates will be provided when appropriate.
BOARD REVIEW UNDER WAY
Winkworth has also appointed an external advisory firm to conduct an independent review of its board and corporate governance arrangements.
Initial recommendations cover the board’s composition and the governance structures considered appropriate for the business.
As part of its longer-term succession planning, Winkworth is reviewing the balance of independence across its Non-Executive Chair and Non-Executive Director roles.
The company expects to receive the review’s full findings in the coming weeks and will consider them alongside its succession plans.
